These Terms & Conditions (“Terms”) govern the supply of goods and services by Sarubbs Ltd (“we,” “us,” or “our”) to business customers (“you” or “the customer”). By placing an order or doing business with Sarubbs Ltd, you agree to these Terms.

3. Orders

All orders are subject to acceptance by Sarubbs Ltd
Orders may be accepted in writing, electronically, or by invoice
We reserve the right to refuse or cancel orders at our discretion

Once accepted, orders cannot be cancelled without our written approval.

4. Pricing

All prices are quoted on a wholesale basis
Prices are exclusive of VAT, shipping, customs duties, and other applicable charges unless stated otherwise
Pricing errors may be corrected at any time

5. Payment Terms

Payment terms will be specified on the invoice or agreed in writing
Full payment must be received before dispatch unless otherwise agreed
Late payments may result in order suspension or cancellation

Sarubbs Ltd reserves the right to recover reasonable costs incurred in collecting overdue payments.

6. Delivery

Delivery timelines are estimates only and not guaranteed
Risk of loss or damage passes to the customer upon delivery
Delays caused by logistics providers, customs, or force majeure events are not our responsibility

7. Inspection of Goods

Customers must inspect goods upon delivery. Any issues relating to damage, defects, or incorrect items must be reported within 7 days of receipt.

Failure to notify us within this period constitutes acceptance of the goods.

8. Returns & Refunds

Returns and refunds are governed by our Exchange & Returns Policy, which forms part of these Terms.

No returns or refunds will be accepted without prior written authorization.

9. Intellectual Property

All intellectual property, including but not limited to website content, documents, and branding, remains the property of Sarubbs Ltd unless otherwise agreed in writing.

10. Limitation of Liability

To the maximum extent permitted by law:

Sarubbs Ltd shall not be liable for indirect, incidental, or consequential losses
Our total liability shall not exceed the value of the goods supplied under the relevant order

11. Compliance & Use of Products

Customers are responsible for ensuring that products purchased from Sarubbs Ltd comply with local laws, regulations, and industry standards applicable in their market.

12. Confidentiality

All pricing, invoices, and commercial information exchanged between Sarubbs Ltd and the customer shall be treated as confidential unless disclosure is required by law.

13. Force Majeure

Sarubbs Ltd shall not be liable for failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, strikes, transport disruptions, or regulatory actions.

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
